Court sets date for meeting of Hafnia Ltd shareholders
The shareholders of Bermudian-domiciled Hafnia Ltd, the tanker-owning company, are to meet next month to vote on the company's proposed redomiciliation to Singapore.
The September 11 date for the scheme meeting was ordered in a directions hearing in the Supreme Court of Bermuda on Monday.
The company is part of the BW Group, an international shipping organisation involved in oil and gas transportation, floating gas infrastructure, environmental technologies and deep water production.
An exempted company limited by shares, Hafnia has been registered in Bermuda since 2014.
The company has offices in Singapore, Copenhagen, Houston and Dubai and employs more than 4,000 employees onshore and at sea.
BW LPG — which is associated with BW Group — completed its redomiciliation to Singapore last month.
The board of directors of Hafnia proposes to implement a scheme of arrangement under Bermuda's company law in order to effect a discontinuance from Bermuda and continuance to Singapore.
Subject to the scheme being effective, the transfer of domicile will be a direct redomiciliation from Bermuda, and the company will accordingly have the same assets and liabilities as prior to re-domiciling.
The board of directors and the management of the company will also remain the same.
The effective date of the redomiciliation is expected to be in the fourth quarter of this year, the company said.
