Hafnia Ltd seeks to redomicile to Singapore

Hafnia Ltd, the Bermudian-domiciled tanker-owning company, is seeking to move its place of incorporation to Singapore.

The company is part of the BW Group, an international shipping organisation involved in oil and gas transportation, floating gas infrastructure, environmental technologies, and deepwater production.

An exempted company limited by shares, Hafnia has been registered in Bermuda since 2014.

BW LPG — which is associated with BW Group — completed its redomiciliation to Singapore earlier this month.

The board of directors of Hafnia proposes to implement a scheme of arrangement under Bermuda's company law in order to effect a discontinuance from Bermuda and continuance to Singapore.

On August 5, the Supreme Court of Bermuda will be asked to give directions as to the convening of a meeting of shareholders of the company that are eligible to vote on the scheme.

Subject to the scheme being effective, the transfer of domicile will be a direct redomiciliation from Bermuda, and the company will accordingly have the same assets and liabilities as prior to redomiciling.

The board of directors and the management of the company will also remain the same.

The effective date of the redomiciliation is expected to be in the fourth quarter of this year, the company said.
